Terms

These terms apply when a company uses Skillflow. Skillflow is provided by Skillflow ApS, Transformervej 29, 1. sal, 2860 Søborg, CVR 44175762.

Skillflow is sold only to companies and public organizations, not to consumers.

Effective from: October 6, 2026.

The agreement consists of your order or quote, these terms, and the data processing agreement, which is Appendix 1. In case of any discrepancy between them, the order takes precedence, then the data processing agreement, and finally these terms.

The person accepting the agreement must be authorized to bind the company.

You get access to Skillflow as an online service in the package you have chosen. This may include tools for building courses, assignment, reports, and ready-made courses from Skillflow.

We develop the platform continuously. We may change features, but we will not remove a significant feature in your package without giving at least 30 days' notice.

We aim to keep Skillflow up at all times. Planned maintenance takes place outside normal working hours whenever possible, and we give notice well in advance.

The price is stated in your order or in the price list in effect when you order. All prices are exclusive of VAT.

You pay in advance for each period. You can pay by card or receive an invoice with a 14-day payment deadline. If you do not pay on time, we will send a reminder. If payment is still outstanding 14 days later, we may suspend access until payment has been made. We may charge interest and fees in accordance with the Danish Interest Act.

We may change the price with 30 days' notice. You can always terminate if you do not wish to accept a new price.

There is no lock-in period. You can cancel the subscription at any time, and the termination takes effect immediately. We do not refund any part of a paid period.

We may terminate with 3 months' notice. We may terminate immediately if you materially breach the agreement and do not remedy it within 14 days after we have requested it.

You own the data and content you put into Skillflow, for example your own courses and information about employees. We use it only to deliver the service to you.

Data is stored in the EU. When we process personal data for you, we act as your data processor, and the data processing agreement in Appendix 1 applies. You accept it together with these terms.

When the agreement ends, you can download your data for 30 days. After that, we delete it, unless the law requires us to retain it.

You are responsible for ensuring that you are entitled to upload the content and that it does not infringe the rights of others.

Skillflow ApS owns the platform and the ready-made courses we provide. You are granted the right to use them within your company for as long as the subscription runs. You may not copy, sell, or pass them on.

Our courses provide knowledge and documentation. They are not legal advice. You remain responsible for ensuring that your company complies with the rules that apply to you.

You must protect your logins and notify us if you believe they have been misused. You may not attempt to access other customers' data, place abnormal load on the platform, or use it for anything unlawful.

If you use AI assistants with access to Skillflow, they receive the same rights as the user who granted the access. You are responsible for what they do.

We are liable under the general rules of Danish law, subject to these limits:

• Our total liability cannot exceed the amount you have paid for Skillflow in the 12 months preceding the damage.
• We do not cover indirect losses, for example lost profits, lost revenue, or loss of data that you could have safeguarded.
• The limits do not apply if we have acted intentionally or with gross negligence.

Neither of us is liable for circumstances beyond our control. This may include war, natural disasters, strikes, failures at a subcontractor, or attacks on the network that we could not reasonably have prevented.

We both keep confidential what we learn about each other through the agreement. This also applies after the agreement has ended.

We may change the terms with 30 days' notice. We notify your administrator by email. If you use Skillflow after the change has taken effect, you have accepted it. If you do not wish to, you can terminate.

Danish law applies. If we cannot reach agreement, the matter will be settled by the City Court of Copenhagen (Københavns Byret).
